General Terms and Conditions Brand Ambassador

Hereinafter referred to as "11Teamsports Group

 -------------------------

1. Participation 

 

  • In order to become an 11teamsports Group Brand Ambassador, you must fill out all the required fields on the registration form correctly and completely. By doing so, you confirm that you are 18 years old. 

  • 11teamsports Group reserves the right to accept or reject applicants as Brand Ambassadors at their discretion. Submitting the application form does not mean that you are eligible to participate in this program. A contract for participation in the program is only concluded when you receive the welcome-to-the-team email. 

  • The account of the Brand Ambassador may be terminated or deactivated immediately if 11teamsports Group has objective evidence that the Brand Ambassador is not complying with essential obligations under this agreement. This includes in particular legal compliance and labelling of advertising. 

  • It is mandatory for Brand Ambassadors to have an active profile on at least one of the following social media platforms: Instagram, Facebook, YouTube, Twitter, Tiktok, Pinterest, etc. 

  • If the Instagram Profile has been selected as the main profile, the Brand ambassador must have at least 500 followers. 

  • As part of the collaboration, the Brand Ambassador agrees to share content related to 11teamsports Group products and other activities on its social media profiles; 11teamsports Group reserves the right to redistribute and use such Brand Ambassador content on its website, blogs and social media profiles. For an indefinite period of time, the Brand Ambassador grants 11teamsports Group, as a partner, any rights to use and distribute its content online and offline, on all of11teamsports Group’ communication channels. 

  • Using the social networks selected above, the Brand Ambassador publishes content about 11teamsports Group. 

  • Participation in the Ambassador Program does not create an employment relationship between the natural person and/or legal entity and 11teamsports Group. The Brand Ambassador shall provide services as an independent cooperation partner. The parties do not establish a corporate relationship or an employment relationship. 

  • The Brand Ambassador commits to generate at least 6 orders in the first quarter of the collaboration; if the Brand Ambassador does not meet that commitment, he/she will be placed on our red list, and after another quarter with fewer than 3 orders, the collaboration will be terminated. 

  • According to the results of the online performance rate, the product budget is set. 

  • It is mandatory to review the products from Product Seeding via the product detail pages for 30 days after delivery. The Ambassador may retain the seeded products. It is the Brand Ambassador's responsibility to tax the benefit associated with receiving the products.

 

2. The Brand Ambassador must not 

 

  • Take any action that might be considered misleading regarding the Brand Ambassador’s relationship with 11teamsports Group, such as collaborating with competitors, reselling merchandise, etc. 

  • Do something that may harm the public image or reputation of the company. 

  • Share a discount code, coupon code, gift card, etc. that was issued as a reward, since rewards are only for our Brand Ambassadors to use. 

  • Run paid advertisement (PPC campaigns) - Promoting Affiliate Links on the Brand Ambassador’s social media, on the other hand, is allowed. 

  • Disclose activities, rewards or other information available in the Ambassador portal to any third party. 

  • Share his/her discount code with third parties (discount portals, coupon sites, influencers etc.), otherwise the discount will be deactivated immediately, and commissions will not be paid. 

 

3. Compensation 

 

  • 11teamsports Group uses AffilBox to pay commissions to its Brand Ambassadors. To pay out the Ambassador’s reward, the Brand Ambassador must have set up his/her own Affiliate profile. 

  • The Brand Ambassador is obliged to comply with all provisions of the General Terms and Conditions. 

  • The Brand Ambassador must agree to the General Terms and Conditions of the Affiliate program (AffilBox). 

 

4. Duration and Termination 

 

  • 11teamsports Group may discontinue the Brand Ambassador program at any time. 

  • Unless agreed otherwise, the cooperation agreement is concluded for an indefinite period. Termination may be declared in text form at any time and without stating reasons. The right to extraordinary termination remains unaffected. 

  • 11teamsports Group reserves the right to terminate the Brand Ambassador’s position in the program due to inactivity. 

 

5. Liability and indemnity obligation 

 

  • The Brand Ambassador shall be liable exclusively if he/she violates the obligation to label advertising on social media and/or other obligations under the contractual cooperation, such as not using third-party protected content in his/her posts. 

  • The Brand Ambassador shall indemnify 11teamsports Group from all third-party claims resulting from a breach of these obligations upon 11teamsports Group first written request at his/her own expense. 

  • Unlimited liability: 11teamsports Group is liable without limitation for intent and gross negligence and in accordance with the Product Liability Act. For slight negligence, 11teamsports Group shall be liable for damages resulting from injury to life, body and health of persons. 

  • In all other respects, the following limited liability shall apply: In the event of slight negligence, 11teamsports Group shall only be liable in the event of a breach of a material contractual obligation, the fulfillment of which is a prerequisite for the proper performance of the contract and on the fulfillment of which the brand ambassador may regularly rely (cardinal obligation). The liability for slight negligence is limited to the amount of damages foreseeable at the time of conclusion of the contract, the occurrence of which must typically be expected. This limitation of liability shall also apply in favor of 11teamsports Group vicarious agents. 

 

6. Final Provisions 

 

  • Should any provision of these General Terms and Conditions be, or become, invalid, the validity of the remaining provisions shall not be affected as a result. 

  • If the Brand Ambassador is a merchant, a legal entity under public law or a special fund under public law, or if the Brand Ambassador has no place of jurisdiction within The Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract between the Brand Ambassador and us shall be our place of business. 

  • Contracts existing between us and the Brand Ambassadors are subject to the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
